PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE.
BY INSTALLING, ACCESSING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT INSTALL OR USE THE SOFTWARE.
 
1. Definitions
"Agreement" means this End User License Agreement, including any amendments.
"Licensor" means Warfighter Made, a nonprofit organization incorporated in the State of California.
"Software" means the WFM Directors Portal plugin, version 20.0 and any subsequent versions provided by Licensor, including the QuickBooks Online integration module, all associated files, documentation, and updates.
"Authorized User" means an individual who is a current member of the Warfighter Made Board of Directors or a current Warfighter Made corporate officer who has been granted a portal account by the Licensor.
"QuickBooks Integration" means the functionality within the Software that connects to Intuit QuickBooks Online via OAuth 2.0 to retrieve, render, and store financial report data.
"Third-Party Services" means Intuit Inc.'s QuickBooks Online platform and API, accessed through the QuickBooks Integration.
"Financial Data" means any financial records, reports, statements, or related information retrieved from QuickBooks Online through the Software.

2. License Grant
2.1 Scope of License
Subject to the terms and conditions of this Agreement, Licensor hereby grants to each Authorized User a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for the internal governance and financial oversight purposes of Warfighter Made.
2.2 Permitted Uses
Authorized Users may:
• Access the Software through the Warfighter Made Directors Portal at warfightermade.org/portal.
• Use the QuickBooks Integration to retrieve financial reports from the Warfighter Made QuickBooks Online account.
• View, download, and share Financial Data with other Authorized Users through the portal's secure document system.
• Use Financial Data for board governance, financial oversight, fiduciary review, and reporting obligations of Warfighter Made.

2.3 Restrictions
Authorized Users may not:
• Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software.
• Sell, resell, sublicense, rent, lease, lend, transfer, or otherwise distribute the Software or any rights therein to any third party.
• Use the Software for any purpose other than the internal governance of Warfighter Made.
• Share login credentials, portal accounts, or access tokens with any person who is not an Authorized User.
• Use the Software to access any QuickBooks account other than the Warfighter Made company account for which it is configured.
• Remove, alter, or obscure any proprietary notices, labels, or markings on the Software.
• Use the Software in violation of any applicable law, regulation, or third-party agreement, including Intuit's QuickBooks API Terms of Service.

3. Ownership and Intellectual Property
The Software is licensed, not sold. Warfighter Made retains all right, title, and interest in and to the Software, including all intellectual property rights therein. This Agreement does not grant Authorized Users any ownership interest in the Software. All rights not expressly granted are reserved by Licensor.

4. Third-Party Services — QuickBooks Online
4.1 Third-Party Terms
The QuickBooks Integration connects to Intuit Inc.'s QuickBooks Online platform. Use of QuickBooks Online is governed solely by Intuit's terms of service, privacy policy, and API usage policies, which are separate from this Agreement. Warfighter Made makes no representations regarding the availability, accuracy, or continued operation of QuickBooks Online or the QuickBooks API.
4.2 No Endorsement
The inclusion of QuickBooks Integration in the Software does not constitute an endorsement of Intuit or QuickBooks Online by Warfighter Made, nor does it constitute an endorsement of Warfighter Made by Intuit.
4.3 API Credentials
The QuickBooks API credentials (Client ID and Client Secret) used by the Software are issued by Intuit to Warfighter Made under Intuit's developer program. Authorized Users are strictly prohibited from accessing, copying, or using these credentials for any purpose outside of their use through the Software as described in Section 2.2.
4.4 OAuth Tokens
The Software stores OAuth access and refresh tokens in the WordPress database using AES-256 encryption. These tokens authorize the Software to access the Warfighter Made QuickBooks account. Authorized Users must not attempt to extract, export, or use these tokens outside of the Software. Tokens expire and are refreshed automatically in the ordinary course of use.

5. Financial Data and Confidentiality
5.1 Confidentiality of Financial Data
Financial Data retrieved through the QuickBooks Integration constitutes confidential information of Warfighter Made. Authorized Users acknowledge that Financial Data is sensitive, non-public information and agree to:
• Handle all Financial Data with the same degree of care used to protect their own confidential information, but in no event less than reasonable care.
• Use Financial Data only for legitimate governance and fiduciary purposes within the scope of their role as a board member or officer of Warfighter Made.
• Not disclose Financial Data to any person outside of Warfighter Made's board and officer team without prior written authorization from the Board Chair or Executive Officer.
• Not use Financial Data for personal financial benefit or in any manner inconsistent with the Authorized User's fiduciary duties to Warfighter Made.
5.2 Document Security
Financial reports generated by the Software are stored in a secure document repository outside of the public web root and are accessible only through time-limited, cryptographically signed download links. Authorized Users must not circumvent, disable, or attempt to bypass these security controls.
5.3 Survival
The obligations in this Section 5 survive termination or expiration of this Agreement for a period of five (5) years, or for so long as the information remains confidential under applicable law, whichever is longer.

6. Privacy
The Software logs user activity, including document access, report syncs, login events, and account changes, in a tamper-evident audit log stored within the WordPress database. This log is accessible to Board Chairs and Executive Officers for governance and security purposes. By using the Software, Authorized Users consent to this activity logging. Warfighter Made will handle all user data in accordance with applicable privacy law and its internal data governance policies.

7. Updates and Modifications
Licensor reserves the right to update, modify, patch, or discontinue the Software at any time, with or without notice. Licensor will make reasonable efforts to notify Authorized Users of material changes through the portal or by email to their registered portal address. Continued use of the Software after any update constitutes acceptance of the updated terms if this Agreement is revised in connection with such update.

8. Term and Termination
8.1 Term
This Agreement is effective upon an Authorized User's first access to the Software and continues until terminated in accordance with this Section.
8.2 Termination by Licensor
Licensor may terminate this Agreement and revoke an Authorized User's access immediately and without notice if the Authorized User:
• Breaches any provision of this Agreement;
• Ceases to be a member of the Warfighter Made Board of Directors or a Warfighter Made corporate officer; or
• Engages in any conduct that Licensor determines, in its sole discretion, is harmful to Warfighter Made or inconsistent with the Authorized User's fiduciary duties.
8.3 Termination by Authorized User
An Authorized User may terminate this Agreement at any time by ceasing all use of the Software and notifying the portal administrator at greg@warfightermade.org to deactivate their account.
8.4 Effect of Termination
Upon termination, the Authorized User's license to access and use the Software ceases immediately. The Authorized User must discontinue all use of the Software and destroy any copies of Financial Data or Software materials in their possession. Sections 3, 5, 8.4, 9, 10, 11, and 12 survive termination.

9. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. LICENSOR DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY FINANCIAL DATA RETRIEVED THROUGH THE QUICKBOOKS INTEGRATION. FINANCIAL DATA IS PROVIDED BY INTUIT'S QUICKBOOKS ONLINE PLATFORM AND LICENSOR HAS NO CONTROL OVER ITS ACCURACY.

10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL LICENSOR'S TOTAL CUMULATIVE LIABILITY TO ANY AUTHORIZED USER UNDER THIS AGREEMENT EXCEED ONE HUNDRED DOLLARS ($100.00), REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY IN FULL TO ALL AUTHORIZED USERS.

11. Indemnification
Each Authorized User agrees to indemnify, defend, and hold harmless Warfighter Made and its officers, directors, employees, volunteers, and agents from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) the Authorized User's use of the Software in violation of this Agreement; (b) the Authorized User's violation of any applicable law or regulation; or (c) the Authorized User's breach of any fiduciary duty owed to Warfighter Made.

12. General Provisions
12.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Riverside County, California.
12.2 Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to the Software.
12.3 Amendment
Licensor reserves the right to amend this Agreement at any time. Amended terms will be communicated to Authorized Users through the Directors Portal or by email. Continued use of the Software following notice of an amendment constitutes acceptance of the amended Agreement.
12.4 Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
12.5 Waiver
No failure or delay by Licensor in exercising any right, power, or remedy under this Agreement shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right, power, or remedy shall preclude any further exercise of the same or any other right, power, or remedy.
12.6 No Third-Party Beneficiaries
This Agreement is for the sole benefit of Warfighter Made and Authorized Users. Nothing in this Agreement shall create or imply any rights or remedies in favor of any third party, including Intuit Inc.

13. Acknowledgment and Acceptance
By accessing or using the Software, each Authorized User acknowledges that they have read this Agreement, understand its terms, and agree to be bound by it. Authorized Users who do not agree to these terms must immediately cease all use of the Software and notify greg@warfightermade.org to have their account deactivated.
